These Terms & Conditions ("Terms") are an agreement between you and MartDesk, run by Aditya (sole proprietor), Begusarai, Bihar, India ("MartDesk", "we", "us", "our"), the owner and operator of the MartDesk billing, stock and khata application at martdesk.pages.dev and any app installed from it (the "Service"). By creating an account, creating or joining a shop, or using the Service you agree to these Terms, our Privacy Policy and our Refund & Cancellation Policy. If you don't agree, please don't use the Service.

1. Who can use MartDesk

• You must be at least 18 years old and able to enter a binding contract under Indian law.
• If you use MartDesk for a shop or business, you confirm you are allowed to accept these Terms for it. "You" then includes that business.
• The shop owner who creates a shop is its Shop Admin. Staff join with the shop code and only after the Shop Admin approves them. The Shop Admin is responsible for everyone they let into the shop.

2. Your account

• Give true and current details (name, shop name, mobile number, email, GSTIN if any) and keep them updated.
• Keep your password secret. You are responsible for everything done through your login. Tell us at once if you think someone else is using it.
• Log out on shared devices. The app keeps some data on the device so billing works without internet (see the Privacy Policy).

3. What the Service does

MartDesk helps you make bills and receipts, keep products and stock, record purchases, customer udhaar and supplier dues, see reports, and print barcode labels. Features may change as we improve the Service. We will tell you in the app before removing a major feature you have paid for.

4. Your responsibilities for bills, prices and tax

• MartDesk calculates totals, discounts, round-off and GST from the prices, MRP, GST rates, HSN codes and settings you enter. You must check them. You alone are responsible for your prices, MRP compliance, invoices, GST registration, returns and tax records.
• Product details that fill in automatically from the shared barcode list or Open Food Facts are suggestions. Check them before saving.
• MartDesk is a software tool. It is not tax, accounting or legal advice.

5. Acceptable use

You agree not to:

• use the Service for anything illegal, including fake invoices, tax evasion or selling banned goods;
• try to reach another shop's data, break security, or test for weaknesses without our written permission;
• copy, resell, rent or reverse-engineer the Service, or scrape the shared barcode list;
• upload harmful code or overload the Service;
• upload screenshots or content that is unlawful, abusive or belongs to someone else without permission.

6. Plans, free trial and payment

• Plans and prices are shown in the app (for example Monthly and Lifetime). Prices are in Indian Rupees.
• New shops may get a free trial. When the trial or a paid plan ends, billing stops until you buy or renew a plan. Your data is kept, and the Shop Admin can still download a full backup.
• You pay by UPI to the UPI ID shown in the app and send the UTR / reference number (and a screenshot if you like). We check it and switch the plan on, usually within a few hours on working days. There is no auto-debit.
• "Lifetime" means for as long as MartDesk runs the Service, for that one shop, with the user limit shown when you bought it.
• We may change plans and prices for the future. A period you have already paid for keeps its price.
• Refunds are covered by the Refund & Cancellation Policy.
• The price shown in the app when you pay is the full amount you pay for that plan.

7. Your data

• Your shop's data (products, bills, customers, khata and so on) belongs to you. You give us permission to store and process it only to run the Service for you.
• When you save a product with a printed barcode, its name, MRP, unit, category, GST % and HSN are added to a shared barcode list that helps other shops fill in the same product. Your selling price, cost price, stock and sales are never shared.
• You can download all your data any time from Settings → Download all my data. Keep your own backups, at least weekly.
• How we handle personal data is explained in the Privacy Policy.

8. Availability, offline use and changes

• We work to keep the Service available and your data safe, but we can't promise it will always be available, never slow and never have errors. Planned maintenance, internet problems or problems at our hosting providers can interrupt it.
• Billing keeps working without internet on a device that has opened your shop before. Those bills are kept on that device and sent when the internet is back. Clearing the browser's data before they are sent deletes them.

9. Our property

The MartDesk software, name, logo and design belong to MartDesk. We give you a limited, non-exclusive, non-transferable right to use the Service for your own shop while your account is in good standing. Feedback you send us may be used to improve the Service without any obligation to you.

10. Suspension and ending

• You can stop using the Service at any time. To delete your shop and its data, contact us (see Contact).
• We may suspend or close an account that breaks these Terms, doesn't pay, or puts other shops or the Service at risk. Where we reasonably can, we'll warn you first and give you time to download your data.
• If we ever shut the Service down, we will give at least 30 days' notice in the app so you can download your data.

11. Disclaimers and limits on liability

• The Service is provided "as is" and "as available". To the extent the law allows, we don't give any warranty that it fits a particular purpose or is error-free.
• To the extent the law allows, MartDesk is not liable for indirect or consequential loss, such as lost profits, lost sales, lost data or penalties that come from wrong prices or tax settings.
• Our total liability for all claims about the Service is limited to the amount you paid us in the 3 months before the claim (or ₹1,000 if you paid nothing).
• Nothing in these Terms limits any right you have that the law doesn't allow to be limited.

12. Indemnity

You agree to cover MartDesk against claims, penalties and costs that arise because you broke these Terms or the law while using the Service (for example wrong invoices or tax filings).

13. Changes to these Terms

We may update these Terms. For important changes we'll show a notice in the app at least 7 days before they apply. If you keep using the Service after that, you accept the new Terms.

14. Law and disputes

These Terms are governed by the laws of India. Please contact us first; most issues are solved quickly on WhatsApp. If a dispute can't be solved within 30 days, the courts at Begusarai, Bihar have jurisdiction.
